1. About MONO JAPAN STORE

MONO JAPAN STORE is the trading name of MONO JAPAN ALL V.O.F., a Dutch partnership based in Rotterdam, the Netherlands.

These Wholesale Terms & Conditions apply to all purchases made by professional buyers through MONO JAPAN STORE.

2. Wholesale Customers

Wholesale purchasing is available exclusively to professional buyers, retailers, hospitality businesses, organisations and other customers purchasing products for professional purposes.

To purchase wholesale, customers may be required to register as a B2B customer and provide relevant company information.

We may request additional information to verify the professional status of a customer before approving a wholesale account.

Wholesale purchases are intended for professional resale or professional use and are not intended for consumers purchasing products for personal use.

3. Products and Availability

MONO JAPAN STORE offers selected Japanese craftsmanship, design and related products to professional buyers.

As many of our products are made by small-scale manufacturers and craftspeople, availability and production times may vary.

Products that are out of stock may not always be available for immediate delivery.

We will provide an estimated delivery or production schedule where possible.

Estimated lead times are indicative and may vary depending on the product, maker, production schedule and availability.

For products that are not currently in stock, lead times may range from several weeks to several months.

4. Wholesale Prices

Wholesale prices are shown to approved B2B customers through the MONO JAPAN STORE wholesale system or otherwise communicated directly by MONO JAPAN STORE.

Unless otherwise stated, wholesale prices do not include shipping costs from the Netherlands to the customer's delivery address.

Prices may be subject to change. The price applicable to an order is the price confirmed at the time the order is accepted.

5. VAT, Import Duties and Taxes

VAT is applied in accordance with applicable Dutch and European Union VAT legislation.

Where a customer is established outside the Netherlands or the European Union, the VAT treatment may depend on the customer's location, VAT status and the specific transaction.

Customers are responsible for providing accurate company and VAT information where applicable.

For deliveries outside the European Union, the customer may be responsible for import VAT, customs duties, customs clearance charges and other taxes or charges imposed by the destination country.

Where applicable, import duties and customs costs incurred in bringing products from Japan to the Netherlands are included in the wholesale product price unless otherwise stated.

6. Orders and Order Confirmation

Wholesale orders can be placed through the MONO JAPAN STORE wholesale system or by another method agreed with MONO JAPAN STORE.

An order is not considered confirmed until it has been accepted by MONO JAPAN STORE.

For larger orders, special orders or products that are not currently in stock, we may contact the customer to confirm availability, pricing and estimated delivery time before accepting the order.

Once an order has been confirmed, the customer is responsible for the order in accordance with these Wholesale Terms & Conditions.

7. Payment

Unless otherwise agreed in writing, wholesale orders must be paid in full before shipment.

Shipping costs may be invoiced separately before shipment.

We will begin preparing and arranging delivery once the required payment has been received.

Any agreed payment terms or credit arrangements must be confirmed in writing by MONO JAPAN STORE.

8. Cancellation

Once a wholesale order has been confirmed by MONO JAPAN STORE, it cannot be cancelled unless otherwise agreed in writing.

Special orders, made-to-order products and products specifically procured for a wholesale customer may not be cancelled once procurement or production has started.

If MONO JAPAN STORE is unable to fulfil a confirmed order, we will contact the customer and, where appropriate, provide a refund for amounts already paid for the affected products.

9. Production and Lead Times

Many of the makers and producers we work with are small-scale craftspeople or independent manufacturers.

For this reason, production schedules and availability cannot always be guaranteed.

We will make reasonable efforts to provide accurate estimates and keep customers informed of significant changes.

However, an estimated production or delivery date does not constitute a guaranteed delivery date unless explicitly agreed otherwise in writing.

10. Shipping

Wholesale shipping costs are calculated separately from retail shipping rates.

Shipping costs may vary depending on the destination, size and weight of the shipment, number of packages and carrier used.

We aim to select an appropriate and cost-effective shipping method for each order.

Wholesale orders may be shipped using local or international carriers depending on the destination and circumstances.

A PO Box cannot normally be used as a delivery address.

Risk in the products passes to the customer in accordance with applicable law and the agreed delivery terms.

11. Inspection and Damage Claims

Wholesale customers are responsible for inspecting their shipment promptly after delivery.

Any visible damage, shortage, incorrect product or other issue should be reported to MONO JAPAN STORE as soon as reasonably possible, preferably within 14 days of receipt.

Customers should retain the original products, packaging and shipping materials until the matter has been resolved.

When reporting damage or other delivery issues, we may request photographs or other information to assess the claim.

This inspection period does not limit any mandatory rights or remedies available to the customer under applicable law.

12. Defective or Incorrect Products

If a product is defective, incorrect or does not conform to the agreed order, please contact us as soon as reasonably possible.

Depending on the circumstances, we may offer a replacement, repair, credit, refund or another appropriate solution.

Any such remedy will be assessed in accordance with the applicable agreement and mandatory provisions of Dutch law.

Products that have been damaged after delivery through improper handling, storage, installation or use are not considered defective for the purposes of this section.

13. Returns and Exchanges

Wholesale purchases are business-to-business transactions and are not subject to the statutory consumer right of withdrawal applicable to consumer purchases.

Unless otherwise agreed in writing, wholesale products cannot be returned simply because the customer has changed their mind or no longer requires the products.

Returns relating to defective, damaged or incorrectly supplied products will be handled in accordance with Section 12.

Any approved return must follow the return instructions provided by MONO JAPAN STORE.

14. Resale and Product Presentation

Wholesale customers purchasing products for resale are responsible for complying with all applicable laws and regulations in their market.

Customers are responsible for presenting and selling products in a manner that does not misrepresent the products, their origin, materials, makers or characteristics.

MONO JAPAN STORE's product descriptions, photographs, logos and other materials may not be reproduced or used for commercial purposes beyond the customer's authorised resale activities without prior written permission.

15. Intellectual Property

All trademarks, logos, photographs, product images, texts, designs and other content provided by MONO JAPAN STORE remain the property of MONO JAPAN ALL V.O.F. or the relevant rights holder unless otherwise stated.

Wholesale customers may use product information and approved images solely for the purpose of promoting and reselling the products purchased from MONO JAPAN STORE, unless otherwise agreed.

Any broader commercial use requires prior written permission.

16. Limitation of Liability

MONO JAPAN STORE is responsible for fulfilling its contractual obligations in accordance with applicable law.

To the extent permitted by law, MONO JAPAN STORE will not be liable for indirect or consequential losses, loss of profit or business interruption arising from a wholesale transaction.

Nothing in these Wholesale Terms & Conditions excludes or limits liability that cannot legally be excluded or limited under applicable law.

17. Force Majeure

We are not responsible for delays or failures caused by circumstances beyond our reasonable control.

Such circumstances may include, for example, natural disasters, fire, war, strikes, transportation disruptions, government restrictions, customs delays, supplier interruptions or other circumstances that could not reasonably have been prevented.

Where such circumstances occur, we will make reasonable efforts to inform the customer and minimise the impact on the order.

18. Changes to These Wholesale Terms

We may update these Wholesale Terms & Conditions from time to time to reflect changes to our business, products or applicable laws.

The version applicable to an order is the version in effect when the order is confirmed, unless otherwise agreed in writing.

The latest version will always be published on this page with the relevant “Last updated” date.

19. Governing Law

These Wholesale Terms & Conditions are governed by the laws of the Netherlands.

Any disputes arising from a wholesale transaction will, where applicable, be subject to the jurisdiction of the competent courts in the Netherlands.

Nothing in these Wholesale Terms & Conditions limits any mandatory rights or protections that cannot legally be excluded.
